Terms of Use

1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and ScribeCam, Inc., a Delaware corporation ("ScribeCam," "we," "us," or "our"), governing your access to and use of the ScribeCam platform, including our website at www.scribecam.com, web application, mobile applications, and all associated features and services (collectively, the "Service").
BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OF AGE, OR BETWEEN 13 AND 17 YEARS OF AGE WITH VERIFIABLE PARENTAL OR GUARDIAN CONSENT, HAVE READ AND UNDERSTOOD THESE TERMS, AND AGREE TO BE LEGALLY BOUND BY THEM. CLICKING "I AGREE" OR ANY EQUIVALENT ACCEPTANCE MECHANISM CONSTITUTES YOUR ELECTRONIC SIGNATURE AND BINDING ACCEPTANCE OF THESE TERMS.
If you do not agree to these Terms, you must not access or use the Service.
2. Changes to Terms
ScribeCam reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email, by posting a notice within the Service, or by updating the effective date above. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms.
3. Accounts and Registration
3.1 Account Creation
To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You are responsible for all activity that occurs under your account. You agree to notify us immediately at support@scribecam.com if you become aware of any unauthorized access to or use of your account.
3.3 Account Eligibility
The Service is intended for users 18 years of age or older. Users between the ages of 13 and 17 may only access the Service with verifiable parental or guardian consent. The Service is not directed to children under the age of 13.
3.4 Report Recipient Accounts
Individuals who receive a shared report must create a free Report Only account to access that report. Report Only accounts are subject to these Terms and our Privacy Policy. Report Only account holders may not create or upload content; their access is limited to viewing reports shared with them.
4. Subscriptions and Payment
4.1 Subscription Plans
Access to the Service's core features requires a paid subscription. Subscription plans, pricing, and features are described on our website and within the Service. We reserve the right to change subscription pricing upon at least thirty (30) days advance written notice to current subscribers.
4.2 Consumer Subscriptions
Consumer subscription payments are processed by Stripe, Inc. ("Stripe"). By subscribing, you agree to Stripe's Terms of Service and authorize recurring charges to your payment method at the then-current subscription rate until you cancel. Cancellation takes effect at the end of the current billing period; no refunds are issued for partial periods except as required by law.
4.3 Enterprise Subscriptions
Enterprise subscriptions are governed by a separate order form or enterprise agreement. In the event of a conflict between these Terms and an executed enterprise agreement, the enterprise agreement controls. Contact legal@scribecam.com for enterprise inquiries.
4.4 Free Trial
We may offer free trial periods at our discretion. Unless you cancel before the trial period ends, your subscription will automatically convert to a paid subscription. We will notify you by email before the trial conversion date.
4.5 Taxes
You are responsible for all applicable taxes, levies, and similar charges assessed in connection with your subscription, except for taxes on our income.
5. User Content
5.1 Your Content
"User Content" means any video recordings, photographs, audio narration, text, data, and other materials you upload, submit, or transmit to or through the Service. You retain all ownership rights in your User Content.
5.2 Ownership of Generated Reports
You own all reports generated by the Service from your User Content. ScribeCam does not claim any ownership interest in the output reports produced on your behalf.
5.3 License to ScribeCam
By uploading User Content to the Service, you grant ScribeCam a limited, non-exclusive, worldwide, royalty-free license to access, store, process, transmit, and display your User Content solely as necessary to provide and improve the Service for you. We do not use your User Content to train or fine-tune AI models without your explicit written consent.
5.4 Your Representations Regarding User Content
By uploading User Content, you represent and warrant that you own the content or have all necessary rights to upload it, it does not violate any third party's rights, and you have obtained all legally required consents from individuals who appear in or whose voice is captured in your recordings.
5.5 Content Responsibility
You are solely responsible for your User Content. ScribeCam does not pre-screen User Content and takes no responsibility for the accuracy, completeness, or legality of report content generated from your inputs. Generated reports should be reviewed by you before distribution.
5.6 Prohibited Data Types
You agree not to upload, submit, or process through the Service any of the following categories of sensitive regulated data without a separate written agreement with ScribeCam expressly permitting such use:
- Protected Health Information ("PHI") as defined under HIPAA. ScribeCam is not a HIPAA Business Associate.
- Financial account numbers, payment card data, or bank routing numbers regulated under GLBA or PCI-DSS.
- Social Security numbers, government-issued identification numbers, or biometric identifiers regulated under applicable state biometric privacy laws.
- Personal data of EU or UK residents where processing would require a Data Processing Agreement not in place between you and ScribeCam.
5.7 Prohibited Content
You agree not to upload User Content that contains nudity or sexually explicit material, depicts or promotes illegal activity or violence, contains malware or malicious code, infringes any third party's intellectual property rights, or violates any applicable law or regulation.
6. AI-Generated Reports and Automated Processing
6.1 Nature of Service
The Service uses artificial intelligence and machine learning technology to automatically generate structured reports from your uploaded video, photographs, and audio narration. Report generation is fully automated.
6.2 AI Sub-Processors
To generate reports, ScribeCam transmits elements of your User Content to third-party AI providers, including OpenAI, Google (Gemini), and Anthropic, as further described in our Privacy Policy. By using the Service, you consent to this processing. Each AI Sub-Processor is required to use your content solely for processing your specific request and not to train their general-purpose models.
6.3 No Guarantee of Accuracy
AI-GENERATED REPORT CONTENT IS PRODUCED ALGORITHMICALLY BASED ON YOUR INPUTS. SCRIBECAM DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR FITNESS FOR PURPOSE OF ANY AI-GENERATED REPORT CONTENT. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, EDITING, AND VERIFYING ALL GENERATED REPORTS BEFORE DISTRIBUTING THEM TO ANY THIRD PARTY.
ScribeCam reports are documentation tools. They are not professional opinions, certifications, legally binding assessments, or insurance products of any kind.
6.4 Report Editing and Version Control
You may edit generated reports using the online report editor. All edits are tracked with version control. You are responsible for the content of any edited report you distribute.
7. Report Sharing and Access
7.1 Your Control
You control who has access to your reports. You may share reports with specific individuals, revoke access at any time, and monitor access through report analytics features.
7.2 Third-Party Recipients
When you share a report with a third party, that recipient accesses and relies on the report entirely at their own risk. ScribeCam owes no duty of care to third-party report recipients and is not liable for any action taken in reliance on a shared report.
7.3 Report Analytics
ScribeCam provides report owners with analytics showing who accessed their report, when, and how. This data is processed as described in our Privacy Policy.
8. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable federal, state, local, or international law or regulation.
- Attempt to gain unauthorized access to any portion of the Service or its related systems.
- Use automated means (bots, scrapers, crawlers) to access the Service without our written permission.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Use the Service to conduct competitive analysis, build a competing product, or reverse-engineer our AI models or report generation technology.
- Interfere with or disrupt the integrity or performance of the Service.
9. Intellectual Property
9.1 ScribeCam Technology
The Service, including all software, algorithms, AI models, prompt architectures, visual designs, trademarks, logos, and all other content and technology comprising or underlying the Service (collectively, "ScribeCam IP"), is owned by ScribeCam or its licensors and is protected by United States and international intellectual property laws, including one or more pending patent applications.
9.2 Trademarks
"ScribeCam," the ScribeCam logo, and "Walk • Talk • Done" are trademarks of ScribeCam, Inc. You may not use ScribeCam trademarks without our prior written consent.
9.3 Feedback
If you submit suggestions or feedback about the Service, you grant ScribeCam a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback into the Service without any obligation to compensate you.
9.4 DMCA and Copyright Infringement
ScribeCam complies with the Digital Millennium Copyright Act ("DMCA"). To report copyright infringement, send a written notice to dmca@scribecam.com including: a description of the copyrighted work, identification of the infringing material, your contact information, and a statement of good faith belief that use is not authorized. Repeat infringers will have their accounts terminated.
10. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
11. Confidentiality
11.1 User Data Confidentiality
ScribeCam treats your User Content, generated reports, and account data as confidential. We will not disclose your User Content or report content to third parties except to our service providers acting under confidentiality obligations, as required by law, with your express consent, or as otherwise permitted by these Terms.
11.2 Enterprise Confidentiality
For enterprise customers, ScribeCam acknowledges that User Content and report data may constitute confidential business information. Additional confidentiality terms may be set forth in your enterprise agreement.
12. Data Security
ScribeCam maintains commercially reasonable administrative, technical, and physical safeguards to protect User Content and account data against unauthorized access, disclosure, alteration, and loss, including encrypted data transmission (TLS), access controls, role-based access management, and security monitoring. In the event of a data security incident, ScribeCam will notify you as required by applicable law.
13. Service Availability and Suspension
ScribeCam targets 99.5% monthly uptime for the core Service as a good-faith operational goal only — this does not constitute a contractual guarantee or service level agreement. ScribeCam reserves the right to suspend your access without prior notice to prevent or investigate a suspected violation of these Terms, protect Service security, or comply with a legal obligation.
14. Third-Party Services and Links
The Service integrates with third-party services including AI providers (OpenAI, Google, Anthropic), cloud infrastructure providers (Wasabi, Fly.io, Supabase, Vercel, Cloudflare), payment processors (Stripe), and communications platforms (Postmark). These services are governed by their own terms and privacy policies. ScribeCam is not responsible for the acts or omissions of third-party service providers beyond the contractual obligations we have in place with them.
15. Export Controls and Sanctions Compliance
The Service is subject to United States export control laws and regulations. By using the Service, you represent that you are not located in a country subject to a comprehensive U.S. government embargo and are not listed on any U.S. government restricted party list. You agree not to use the Service in connection with any prohibited end use under applicable U.S. export control laws.
16. Regulatory and Legal Cooperation
ScribeCam will cooperate with lawful requests from regulatory agencies, law enforcement, and courts as required by applicable law. Where permitted by law, ScribeCam will provide you with reasonable notice before complying with such requests. 17. Disclaimers and Limitation of Liability
17.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SCRIBECAM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY AI-GENERATED REPORT CONTENT.
17.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCRIBECAM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES. IN NO EVENT WILL SCRIBECAM'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SCRIBECAM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
17.3 Professional Reliance Disclaimer
Nothing in the Service constitutes professional advice of any kind, including legal, insurance, engineering, medical, or construction advice. Users in licensed professions are solely responsible for ensuring their use of the Service complies with applicable professional standards and regulatory obligations.
18. Indemnification
18.1 Your Indemnification of ScribeCam
You agree to defend, indemnify, and hold harmless ScribeCam and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or relating to your use of the Service, your User Content, your violation of these Terms, or your violation of any third party's rights.
18.2 ScribeCam's Indemnification of You
ScribeCam agrees to defend, indemnify, and hold harmless you from third-party claims alleging that the ScribeCam platform technology itself (excluding your User Content) directly infringes a valid United States patent, copyright, trademark, or trade secret, subject to you providing prompt notice and cooperation.
19. Termination
19.1 Termination by You
You may terminate your account at any time by contacting us at support@scribecam.com or through your account settings. Termination does not entitle you to a refund of prepaid subscription fees except as required by applicable law.
19.2 Termination by ScribeCam
ScribeCam may suspend or terminate your account immediately without prior notice if we reasonably believe you have materially violated these Terms or if your account poses a security risk. For terminations not related to a violation, ScribeCam will provide at least thirty (30) days advance written notice.
19.3 Effect of Termination
Upon termination, we will retain your data for a minimum of ninety (90) days to allow you to retrieve any reports or content. Following this period, ScribeCam will delete your User Content and generated reports within thirty (30) days, except for data required to be retained under applicable law.
20. Governing Law
These Terms and any disputes arising out of or relating to the Service are governed by the laws of the State of California, without regard to its conflict of law principles.
21. Dispute Resolution
21.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to contact us at legal@scribecam.com to attempt to resolve the dispute informally. We will make reasonable efforts to resolve the dispute within thirty (30) days.
21.2 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS, rather than in court, except as provided below. The arbitration will be conducted in Sonoma County, California. The arbitrator's award will be final and binding.
21.3 Arbitration Opt-Out
You may opt out of this arbitration agreement by sending written notice to legal@scribecam.com with the subject line "Arbitration Opt-Out" within thirty (30) days of first creating your ScribeCam account.
21.4 Class Action Waiver
YOU AND SCRIBECAM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
21.5 Exceptions to Arbitration
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information. Small claims court actions that qualify under applicable rules may also be brought without arbitration.
21.6 Venue
For any matter not subject to arbitration, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Sonoma County, California.
22. General Provisions
22.1 Entire Agreement
These Terms, together with our Privacy Policy and any executed enterprise agreement, constitute the entire agreement between you and ScribeCam regarding the Service.
22.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
22.3 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
22.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ScribeCam may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
22.5 Force Majeure
ScribeCam is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, internet outages, third-party service failures, cyberattacks, or government actions.
